Client Responsibilities

To ensure smooth and timely delivery of services, clients are expected to:

• Review and approve content, creatives, and strategies within the agreed turnaround time
• Communicate feedback clearly and promptly to avoid project delays

Delays caused by lack of client response or approvals will not be treated as a breach on our part, and project timelines will be adjusted accordingly.

Payments & Billing

All payments are governed by the terms outlined in the respective invoice or service agreement. The following conditions apply:

• A confirmed advance payment (as agreed) is required before work commences on any project
• Remaining payments must be made as per the milestones or schedule defined in the agreement
• Invoices are due within the payment period specified (typically 7 days unless otherwise agreed)
• Delayed payments may result in a temporary suspension of active services without prior notice
• Mokshitha Digital Innovative Solutions reserves the right to charge a late payment fee for invoices outstanding beyond the due date
• All prices quoted are exclusive of applicable taxes (GST) unless stated otherwise

Intellectual Property Rights

All strategies, creative assets, content, designs, reports, and deliverables developed by Mokshitha Digital Innovative Solutions remain the intellectual property of the agency until full and final payment has been received from the client. Upon receipt of complete payment:

• Ownership of client-specific deliverables (such as website files, ad creatives, and written content) transfers to the client
• Mokshitha Digital retains the right to use project work in our portfolio, case studies, and promotional materials unless explicitly restricted by written agreement
• Any tools, frameworks, proprietary methodologies, or templates used in delivering the services remain the exclusive property of Mokshitha Digital Innovative Solutions

Confidentiality

Both parties agree to maintain the confidentiality of any sensitive business information, trade secrets, or proprietary data shared during the course of the engagement. Mokshitha Digital Innovative Solutions will not disclose client-specific data, campaign results, or business information to any third party without prior written consent, except as required by law or for the purpose of delivering the agreed services.

Results & Performance Disclaimer

While Mokshitha Digital Innovative Solutions applies best-in-class strategies and industry-proven methodologies, we do not guarantee specific rankings, traffic numbers, lead volumes, or revenue outcomes. Digital marketing results are influenced by multiple external factors including algorithm changes, market competition, industry trends, and client-side variables. We commit to delivering our services with full professional diligence and transparency, and will provide regular performance reports to keep clients informed.

Limitation of Liability

Mokshitha Digital Innovative Solutions shall not be held liable for any indirect, incidental, consequential, or punitive losses or damages arising from the use of our services, including but not limited to loss of revenue, loss of data, or business disruption. Our total liability in any circumstance shall not exceed the total fees paid by the client for the specific service in question during the preceding three months.

Termination of Services

Either party may terminate the service agreement by providing written notice as specified in the agreement (typically 30 days). In addition:

• Mokshitha Digital reserves the right to immediately suspend or terminate services in the event of non-payment, breach of terms, or unethical conduct by the client
• Upon termination, all pending dues must be settled within 7 business days
• Work completed up to the date of termination will be billed and must be paid in full
• Access credentials and completed deliverables will be handed over only after all outstanding payments are cleared

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana.

Changes to These Terms

Mokshitha Digital Innovative Solutions reserves the right to revise or update these Terms and Conditions at any time without prior notice.
